USER AGREEMENT FOR in|urmagazine.com

Please read the following User Agreement:

1. Welcome to in|ur magazine (" in|ur", " Service" or " we"), published bimonthly by Intentionally Urban Magazine LLC (" in|ur LLC"). By using this Service, you agree to be bound by all of the terms of this Agreement (" User Agreement"). The Service is currently free to all users, however, we reserve the right to charge for this Service in the future. In such event, we will notify you in advance. We reserve the right to change the terms of this Agreement or to modify any features of this Service at any time. By registering for this Service and/or continuing to use this Service after the posting of Notices regarding such changes, you agree to be bound by such changes.

2. Trademark and Copyrights. This Service (including, but not limited to, text, photographs, graphics, video and audio content) is protected by copyright as a collective work or compilation under the copyright laws of the United States and other countries. All individual articles, content and other elements comprising this Service are also copyrighted works. You must abide by all additional copyright notices or restrictions contained in this Service.

3. Prohibited Use. (a) Except for content posted by you on in|ur, or unless expressly permitted, you may not copy, reproduce, distribute, publish, enter into a database, display, perform, modify, create derivative works, transmit, or in any way exploit any part of this Service, except that you may download material from this Service for your own personal use as follows: you may make one machine readable copy and/or one print copy that is limited to occasional articles of personal interest only. Without limiting the generality of the foregoing, you may not distribute any part of this Service over any network, including a local area network, nor sell or offer it for sale. (b) Neither you nor any third party shall make use of the contents of the Service in any manner that constitutes an infringement of our rights, including copyright or that has not been authorized by us.

(c) Just as we require you to respect our copyrights, and those of our affiliates and partners, we also respect the copyrights of others. If you believe in good faith that your copyrighted work has been reproduced on our site without authorization in a way that constitutes copyright infringement, please notify us. Any personal information you provide in your email will be used only for purposes related to your email.

4. Indemnification. You agree to indemnify and hold harmless in|ur and in|ur LLC, and their members, managers, officers, employees, agents, and licensors, from and against all losses, expenses, damages and costs, including reasonable attorneys' fees, resulting from any violation of this Agreement, or the failure to fulfill any obligations relating to your account incurred by you or any other person using your account. We reserve the right to take over the exclusive defense of any claim for which we are entitled to indemnification under this Section. In such event, you shall provide us with such cooperation as is reasonably requested by us.

5. Disclaimer of Warranties. This Service is available "as is." We do not warrant that this Service will be uninterrupted or error-free. There may be delays, omissions, interruptions and inaccuracies in the articles, information or other materials available through this Service. We are not responsible for the availability or content of other services that may be linked to this Service. We do not make any warranties, express or implied, including without limitation, those of merchantability and fitness for a particular purpose, with respect to this Service or any information or goods that are available or advertised or sold through this Service. We do not make any representations, nor do we endorse the accuracy, completeness, timeliness or reliability of any advice, opinion, statement or other material or database displayed, uploaded or distributed in this Service or available though links in this Service. We reserve the right to correct any errors or omissions in this Service. Although we intend to take reasonable steps to prevent the introduction of viruses, worms, "Trojan horses" or other destructive materials to this Service, we do not guarantee or warrant that this Service or materials that may be downloaded from this Service do not contain such destructive features. We are not liable for any damages or harm attributable to such features. If you rely on this Service and any materials available through this Service, you do so solely at your own risk.

6. Limitation of Liability. in|ur and in|ur LLC, and their members, managers, officers, employees, agents, and licensors are not liable for inci dent al, indirect, consequential, special, punitive, or exemplary damages of any kind, including lost revenues or profits, loss of business or loss of data, in any way related to this Service or for any claim, loss or injury based on errors, omissions, interruptions or other inaccuracies in this Service (including without limitation as a result of breach of any warranty or other term of this Agreement). Any claim against us shall be limited to the amount you paid, if any, for use of this Service.

7. Submitted Materials. Unless specifically requested, we do not solicit nor do we wish to receive any confidential, secret or proprietary information or other material from you through the in|ur, by e-mail or in any other way. Any information, creative works, demos, ideas, suggestions, concepts, methods, systems, designs, plans, techniques or other materials submitted or sent to us (including, for example and without limitation, that which you submit or post to our chat rooms, message boards, and/or our blogs, or send to us via e-mail) (" Submitted Materials") will be deemed not to be confidential or secret, and may be used by us in any manner consistent with the in|ur's Privacy Policy. By submitting or sending Submitted Materials to us, you: (i) represent and warrant that the Submitted Materials are original to you, that no other party has any rights thereto, and that any "moral rights" in Submitted Materials have been waived, and (ii) you grant us and our affiliates a royalty-free, unrestricted, worldwide, perpetual, irrevocable, non-exclusive and fully transferable, assignable and sublicensable right and license to use, copy, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, perform, display and incorporate in other works any Submitted Materials (in whole or part) in any form, media, or technology now known or later developed, including for promotional and/or commercial purposes. We cannot be responsible for maintaining any Submitted Material that you provide to us, and we may delete or destroy any such Submitted Material at any time.

8. Public Forums. in|ur and in|ur LLC may, from time to time, make messaging services, chat services, bulletin boards, message boards, blogs, other forums and other such services available on or through in|ur. In addition to any other rules or regulations that we may post in connection with a particular service, you agree that you will not upload, post, transmit, distribute or otherwise publish through in|ur or any service or feature made available on or through in|ur, any materials which (i) restrict or inhibit any other user from using and enjoying in|ur or the in|ur's services, (ii) are fraudulent, unlawful, threatening, abusive, harassing, libelous, defamatory, obscene, vulgar, offensive, pornographic, profane, sexually explicit or indecent, (iii) constitute or encourage conduct that would constitute a criminal offense, give rise to civil liability or otherwise violate any local, state, national or international law, (iv) violate, plagiarize or infringe the rights of third parties including, without limitation, copyright, trademark, trade secret, confidentiality, contract, patent, rights of privacy or publicity or any other proprietary right, (v) contain a virus, spyware, or other harmful component, (vi) contain embedded links, advertising, chain letters or pyramid schemes of any kind, or (vii) constitute or contain false or misleading indications of origin, endorsement or statements of fact. You further agree not to impersonate any other person or entity, whether actual or fictitious. You also may not offer to buy or sell any product or service on or through your comments submitted to our forums. You alone are responsible for the content and consequences of any of your activities.

9. Right to Monitor and Editorial Control. in|ur and in|ur LLC reserve the right, but do not have an obligation, to monitor and/or review all materials posted to in|ur or through in|ur's services or features by you, and in|ur and in|ur LLC. are not responsible for any such materials posted by you. However, in|ur and in|ur LLC. reserve the right at all times to disclose any information as necessary to satisfy any law, regulation or government request, or to edit, refuse to post or to remove any information or materials, in whole or in part, that in in|ur and in|ur LLC's sole discretion are objectionable or in violation of this User Agreement, our policies or applicable law. We may also impose limits on certain features of the forums or restrict your access to part or all of the forums without notice or penalty if we believe you are in breach of the guidelines set forth in this paragraph, our User Agreement or applicable law, or for any other reason without notice or liability.

10. Termination. This Agreement may be terminated by either party for any reason at any time. Sections two (2) and four (4) through nine (9) of this Agreement shall survive such termination.

11. Applicable Laws. This Agreement shall be governed by the laws of the United States and the state of Oregon . BY CONTINUING TO USE in|ur, YOU AGREE TO ABIDE BY THE TERMS OF THIS AGREEMENT.

in|ur PRIVACY POLICY

This Privacy Policy governs in|ur's data collection practices as of May 1, 2008 . We recognize the importance of protecting the privacy of your personal information. In adopting this Privacy Policy, our intent is to balance our legitimate business interests in collecting and using your personal information and your reasonable expectations of privacy.

To subscribe to in|ur, we may ask you to provide various types of personal information. For example, we may ask for information such as your name or e-mail address. We may also ask you for other information at other times - such as when you enter a contest or participate in a promotion.

In|ur uses the personal information you provide to us in several ways. Some examples follow.

We may use the information provided by you to: 1) contact you with legal notices, 2) to advise you of any material changes or additions to in|ur or terms and conditions, and 3) account status (including confirmation of registrations).

When you are asked for personal information, you are providing that information to in|ur and in|ur LLC, and their members, managers, officers, employees, agents, and licensors or vendors providing contractual services for in|ur or in|ur LLC (such as hosting vendors and list managers). If you do not want your information to be shared, you can choose not to allow the transfer by not using that particular service or by expressing this preference, if requested.

Except as stated in this Privacy Policy or at the time of collection, a user's personally identifiable information will not be transferred to a party outside in|ur and in|ur LLC, and their members, managers, officers, employees, agents, and licensors unless notice is given at the time of collection or prior to transfer. in|ur and in|ur LLC, and their members, managers, officers, employees, agents, and licensors may also disclose account information in special cases when we have reason to believe that disclosing this information is necessary to identify, contact or bring legal action against someone who may be violating our User Agreement or may be causing injury to or interference with (either intentionally or unintentionally) in|ur or in|ur LLC's rights or property, other in|ur users, or anyone else that could be harmed by such activities.

Any changes to our policy will be posted as soon as they go into effect.
